ENGINEER FOR THE WEEK – OFFICIAL RULES (MARCH 2020)

THIS PROGRAM IS A CLOSED PROGRAM OPEN ONLY TO INDIVIDUALS (i) WHO ARE ENROLLED IN OR OTHERWISE AFFILIATED WITH A NON-PROFIT EDUCATIONAL ORGANIZATION DESCRIBED IN SECTION 2 (“ELIGIBILITY”) BELOW, (ii) WHO ARE LEGAL RESIDENTS OF A JURISDICTION LISTED IN SECTION 2 (“ELIGIBILITY”) BELOW, (iii) WHO ARE BETWEEN ELEVEN (11) AND NINETEEN (19) YEARS OLD AND (ii) WHOSE FACILITATOR (DEFINED BELOW) SUBMITS THE APPLICATION (AS DEFINED BELOW) AND ARE THEREAFTER EXPRESSLY INVITED BY SPONSOR (DEFINED BELOW) TO PARTICIPATE IN THE PROGRAM. 

WINNERS (AND, FOR MINORS, THEIR PARENTS OR LEGAL GUARDIANS) AND THE FACILITATORS OF WINNERS MAY BE REQUIRED TO EXECUTE AND RETURN PRIZE ACCEPTANCE DOCUMENTS OR PRIZE MAY BE FORFEITED (IN SPONSOR’S SOLE DISCRETION), AS MORE FULLY DETAILED BELOW.

INTERNET ACCESS, EMAIL ADDRESS, AND ACCESS TO A FACILITY AND A COMPUTER ARE REQUIRED TO PARTICIPATE IN THIS PROGRAM.

BY TAKING ANY STEP TO PARTICIPATE IN THIS PROGRAM, EACH FACILITATOR, PARTICIPANT (INCLUDING EACH TEAM MEMBER) (ALL DEFINED BELOW) (IF A MINOR, TEAM MEMBER'S PARENT OR LEGAL GUARDIAN) AGREE TO THESE OFFICIAL RULES (“TERMS”).  PARTICIPATION IN THIS PROGRAM CONSTITUTES PARTICIPANT’S FULL AND UNCONDITIONAL AGREEMENT TO AND ACCEPTANCE OF THESE TERMS AND THE DECISIONS OF SPONSOR (AS DEFINED BELOW), WHICH ARE FINAL AND BINDING IN ALL MATTERS.  AS A CONDITION OF PARTICIPATING, EACH PARTICIPANT AGREES THAT THEIR PARTICIPATION RELATED TO THIS PROGRAM IS GOVERNED BY THESE TERMS AND THAT THEY WILL NOT CLAIM THAT THE LAW OF ANY JURISDICTION OTHER THAN AS STATED IN THESE TERMS GOVERNS THEIR PARTICIPATION.  EACH FACILITATOR MUST ALSO AGREE ON BEHALF OF THE ORGANIZATION TO THE PARTICIPATION AGREEMENT GOVERNING THIS PROGRAM, AND PARTICIPANTS MAY ALSO BE REQUIRED TO AGREE TO ADDITIONAL TERMS, AUTHORIZATIONS, OR CONSENTS TO PARTICIPATE IN THIS PROGRAM, INCLUDING BUT NOT LIMITED TO THE PARENTAL CONSENT FORM.  THESE TERMS ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE APPLYING AND PARTICIPATING.  WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR FROM THE PARTICIPANT (i.e., A REQUIREMENT THAT THE PARTICIPANT DEFEND AND/OR REIMBURSE RELEASED PARTIES FROM/FOR CERTAIN LOSSES) AND A LIMITATION OF PARTICIPANT’S RIGHTS AND REMEDIES. 

  1. OVERVIEW
  • The Engineer for the Week Program (“Program”) is sponsored by Facebook, Inc., a Delaware corporation with a principal place of address at 1 Hacker Way, Menlo Park, CA 94025 US (“Sponsor”). Eligible natural persons who are leaders or administrators of local non-profit educational organizations, including schools, after-school or extracurricular clubs/organizations, or community organizations (“Organization”), may apply to participate in the Program (each, a “Facilitator”).  If accepted, Facilitator will be required to facilitate and guide the Participant(s) of such Organization and will be required to coordinate certain activities and have certain responsibilities, or the related Participant(s) may be disqualified in Sponsor’s sole discretion.
  • To be considered for an invitation, a Facilitator must complete and submit an Application (as described and defined below) during the timeframe communicated by the Sponsor (the “Application Period”). Any Facilitator that submits or attempts to submit an Application in this Program is referred to in these Terms as an “Applicant.”  Following receipt and review of the Application by the Sponsor, the Sponsor shall determine, in its sole discretion, whether to invite the Applicants to participate in the second stage of the Program.  In the second stage of the Program, Facilitators will sign up members of the Organization in teams of individuals (each individual is a “Team Member,” together they are a “Team,” and collectively Team Members and their Facilitators are “Participants”).  Participants will then participate in the week-long program where Team Members will engage with Sponsor to leverage open-source technologies to have positive social impact at the personal and community levels (“Project”) as described in Section 4 (“How To Enter”)
  • The Program is divided into separate week-long participation opportunities (each a “Sprint”). The exact dates of each Sprint we be decided in Sponsor's sole discretion and subject to change.
  • At the end of Sprint, Facilitator will judge each Team's Project in accordance with the procedures as described in Section 6 (“Judging, Winner Selection and Notification”) below, and submit the Project with the highest score to Sponsor (“Submission”). Each Facilitator must submit the Submission during the timeframe for the applicable Sprint as communicated to Facilitator (“Submission Period”).  Winning Submissions will be selected through the judging process described in Section 6 (“Judging, Winner Selection and Notification”)  The winning Submissions will win a donation to a non-profit organization of the winner’s choice, subject to approval by the Sponsor, as described below (“Impact Award”).
  1. ELIGIBILITY
  • Territories. The Program is offered by the Sponsor to Participants who are legal residents of the following jurisdictions (each, a “Territory”), subject to change at the Sponsor’s sole discretion:
    • The fifty (50) United States or U.S. territories;
    • Mexico;
    • Argentina; or
    • Colombia
  • Facilitators. To be eligible to participate in the Program, each Facilitator must be a legal resident of a Territory, eighteen (18) years of age or older and at least the age of majority under applicable law in their state or jurisdiction of primary residence and (ii) leader or administrator of an associated Applicant’s named Organization as listed in their Application.
  • Team Members. Each Team Member must be a (i) legal resident of the Territory who are between eleven (11) and nineteen (19) years old as of the date of submission of an Application in this Program and (ii) a member or student of the Organization listed in the Application.  Individuals must be affiliated with the Organization enough that the Organization has accurate contact information for each such individual.  In addition, to be eligible for consideration in this Program, the parent or legal guardian of each Team Member who is a minor (i.e., younger than 18) must return a signed Parental Consent Form as described in Section 4 (“How To Enter”)  Sponsor may, in its sole discretion, limit the participation in certain aspects of the Program of Participants who are (a) under the age of 13 or (b) participating through an Organization that is a school or educational agency or institution (“Student”).
  • Applicants. To be eligible to participate in this Program beyond the Application stage, an Applicant must be expressly invited by Sponsor pursuant to Section 4.2.1 (“Team Sign Up, Sprint Week, Project Creation and Submission”) below.
  1. AGREEMENT BY PARTICIPANTS
  • Warranty. Each Participant hereby warrants that their actions (including the acceptance of a prize, if a winner) do not violate any agreement they have with any Organization or other policies and procedures that may apply to them concerning their participation.  No entity has the right to claim a prize in this Program.
  • Released Parties. Employees, officers, directors, members, managers, agents, and representatives of Sponsor, and any entities participating in the design, promotion, marketing, administration, or fulfillment of this Program, or any of their respective corporate partners, parent companies, divisions, subsidiaries, affiliates, successors in interest, and advertising, promotion, and public relations agencies, judges and their employers, employees, managers, agents and representatives (collectively, the “Released Parties”) and any family member or member of the same household (whether or not related) of any such persons are not eligible to enter or win a prize in this Program. For the purposes of this Program, the term “family members” is defined as any spouse, partner, parent, legal guardian, child, sibling, grandparent, grandchild, or in-law.
  1. HOW TO ENTER
  • Application & Selection of Participants
    • Eligible Applicants may apply for an invitation to participate in the Program by completing and submitting a form to Sponsor during the Application Period, which may require the Organization’s name, Facilitator's name, email address, phone number, location, what dates are desired for their Sprint, and a short statement of the previous experience their Organization has had with computer science and STEM initiatives, and any other required information (collectively, an “Application”). As part of the Application, Applicants will be required to agree to the participation agreement for the Program, in the form directed by Sponsor, (the “Participation Agreement”) on behalf of the Organization.
    • Following the close of the Application Period, representatives of Sponsor will review all eligible Applications received and will identify Applicants that Sponsor believes have demonstrated the greatest interest in the Program and the most promise for helping Team Members develop Projects as part of the Program by considering the Criteria (defined in Section 6 (“Judging, Winner Selection and Notification”) below). Sponsor may use the contact information submitted by the Facilitator to notify the Facilitator about opportunities to participate in programs outside of the Program.
  • Team Sign Up, Sprint Week, Project Creation and Submission
    • Sponsor will contact each selected Applicant before the applicable Sprint and invite the Applicant to become a Participant in the Program. Upon being selected as a potential Participant, Sponsor will require the associated Facilitator to obtain a signed consent form (in the form provided by Sponsor and without modification) from the parent or legal guardian of each potential Team Member who is a minor, indicating that the parent/legal guardian consents to their minor child’s participation in this Program (a “Parental Consent Form”), and each Team Member (and minor Team Member’s parent or legal guardian) agrees as a condition of participating to comply.  The potential Participant may be required to execute additional documentation.  All required documentation, including all Parental Consent Forms, must be executed and retained in accordance with Sponsor's instructions.  If Sponsor instructs Facilitator to provide the Parental Consent Form or any other required documentation to Sponsor, Facilitator will do so as instructed and by the deadline indicated.
    • Facilitator will help the Organization members form Teams of Team Members and identify a personal or community interest that the Teams want to focus on for their Projects.
    • Before the Sprint occurs, Sponsor will provide each Facilitator with resources such as facilitation materials, instructions, and Program orientation to prepare for the Sprint. Through Facilitator, Sponsor will also invite each Team Member to attend and participate in Program activities, which may include an online virtual kick-off event and webinars for the Program.  Instructions for how to participate in these activities will be communicated to each Facilitator by Sponsor.  Participants may also be invited to join a non-public Facebook Group for the Program.  Participants may create and work on their Projects on a variety of online platforms as instructed by Sponsor, which may include Facebook, Chatfuel, or GitHub.
    • During the Sprint, Teams will be asked to design and build a project in accordance with the technical and subject matter parameters communicated by Sponsor. The Project must abide by all of the Submission Requirements described in Section 5 (“Submission Requirements”) below, but the nature and subject matter of the Project is otherwise up to the Participant.  At the end of the Sprint, Facilitator must judge each Team's Project strictly in accordance with the Criteria as communicated to Facilitator by Sponsor.  Facilitator will submit the Project with the top score to Sponsor through the Program website according to the instructions contained on the Program website and as communicated to Facilitator, which may include, without limitation: providing a link to the completed Project, Facilitator's name, Facilitator's email address, Project name, a brief description of what the project is about and what it does, and the Project Team Members’ names, ages, and email addresses. The Submission must be received no later than the end of the applicable Submission Period.  The Project must remain accessible by Sponsor throughout the judging process and award of the prizes in this Program or the Participant will be disqualified.
    • All information submitted to Sponsor as part of this Program, including the Application, the Submission (including Participant’s Project) and any other text, video, images, or other content that an Applicant or Participant submits to Sponsor as part of this Program are referred to collectively as the Participant’s “Participant Content”. All Participant Content submitted in this Program must comply fully with Section 5 (“Submission Requirements”)  The Application, Submission, and related content and information submitted to Sponsor in accordance with these Terms and instructions of Sponsor and actually received by Sponsor are referred to in these terms as an “Entry.”  All eligible Entries received during the Submission Period will be judged as more fully detailed in Section 6 (“Judging, Winner Selection and Notification”) below.
    • The Sponsor may elect, in the Sponsor’s sole discretion, to invite Participants age 13 or older to attend events associated with the Program (each, a “Program Event”). Sponsor may utilize Program Content, for purposes of inviting Participants to Program Events and facilitating Participants’ attendance at Program Events. Sponsor may also require Participants to complete and return additional documentation and provide additional information as a condition of participation in, or attendance at, Program Events.
    • Limit one (1) Entry per person in this Program. No individual person can enter as a member of more than one (1) Team.  Entries must be submitted and received by Sponsor during the Submission Period and in strict accordance with these Terms.  Sponsor’s clock will be the official timekeeper for this Program.  For purposes of this Program, only complete Entries that are actually received by Sponsor according to these Terms and during the Submission Period will be considered.  Proof of submitting or attempting to submit an Entry (such as, without limitation, a printed, saved or copied automated receipt confirming entry, a “Thanks for submitting” screen or message) does not constitute proof of actual receipt of the Entry for purposes of this Program.  Those who do not abide by these Terms and the instructions of Sponsor and provide all required Participant Content may, in Sponsor’s sole discretion, be disqualified.  Entries or participation may not be acknowledged and will not be returned.  Entries (or participation that does not qualify as an “Entry”) that are incomplete, lost, late, misdirected, mutilated, fraudulent, illegitimate, incomprehensible, garbled, or generated by a macro, bot, or other automated means will not be accepted and will be void.  Entries or participation made on behalf of a Participant by a third party not affiliated or associated with that Participant (as determined by Sponsor in its sole discretion) or originating through any commercial promotion subscription, notification, or entering services will be declared invalid and disqualified for this Program.  No Released Party will have any responsibility or liability for any dispute regarding any Participant, including the identity of any Team Member or Facilitator, the composition of the members of a Team, or the distribution of any prize won among Team Members.  In the event that any dispute regarding an Entry or Team Member that cannot be resolved to Sponsor’s satisfaction, the Entry will be deemed ineligible and the Team disqualified.  As a condition of entering the Program, without limiting any other provision in these Terms, each Team Member gives consent for Sponsor and its agents to obtain and deliver his/her name, address and other information and Entry to third parties for the purpose of administering this Program and complying with applicable laws, regulations, and rules.  ENTRIES MAY NOT BE ACKNOWLEDGED, WILL NOT BE RETURNED, AND, IN FACT, MAY BE DESTROYED.  KEEP A COPY OR THE ORIGINAL OF EACH ELEMENT OF THE ENTRY.  ANY ENTRY THAT DOES NOT CONFORM TO THE REQUIREMENTS IN THESE TERMS MAY, IN SPONSOR’S SOLE DISCRETION, BE DEEMED INELIGIBLE.
  1. SUBMISSION REQUIREMENTS
  • Requirements. Participant Content must meet all of the following requirements (“Submission Requirements”), as determined by Sponsor in its sole discretion, or the associated Entry may be disqualified:
    • Participant Content must be original to the Participant and have been started and fully created by the Participant during the Sprint.
    • Each Participant must comply with all policies, guidelines, and rules of Facebook and any other platform or service that may be used to create or work on the Project, including, without limitation, Facebook Platform Policy (currently available at https://developers.facebook.com/policy/), Instagram Platform Policy (currently available at https://www.instagram.com/about/legal/terms/api/) Chatfuel Terms of Use (currently available at https://chatfuel.com/TermsOfUse.pdf), and GitHub Terms of Service (currently available at https://help.github.com/articles/github-terms-of-service/).
    • All aspects of the Participant Content must be solely owned by or licensed to the Participant or in the public domain. All third-party content not owned by or licensed to the Participant is prohibited, unless such content is in the public domain.  Sponsor may request written proof of ownership of or adequate license to Participant of any Participant Content.  Failure to timely provide adequate proof of ownership or sufficient license rights in any content included in the Participant Content (as determined by Sponsor in its sole discretion) may result in the Participant being disqualified and all Entries deemed void.
    • Participants under the age of 13 shall not submit or otherwise provide Participant Content that personally identifies the Participant.
    • If any part of a Participant’s Participant Content submitted or otherwise provided by a Participant depicts, identifies, or includes any person that is not Participant him- or herself, Participant (including each Team Member) must have all permissions and rights from the individual depicted, identified, or included (and, if such individual is a minor, his/her parent or legal guardian) and agrees to provide Sponsor with written confirmation of those permissions and rights upon request.
    • Participant Content must not create or imply any association between Sponsor and any individual or entity or his, her, or its products or services, including the Participant. Participant Content must not contain any recognizable third-party trademarks (including logos), trade dress, or other brand elements.
    • Participant Content must not infringe, misappropriate, or violate any rights of any third party including, without limitation, copyright (including moral rights), trademark, trade secret, or rights of privacy or publicity.
    • Participant Content must not include any malware, spyware, viruses or similar harmful code or content.
    • Participant Content must not include information or content that is false, fraudulent, deceptive, misleading, defamatory, libelous (including trade libel), disparaging, harassing, threatening, profane, obscene, pornographic or otherwise adult-oriented, hateful, indecent, inappropriate, or injurious to any Released Party or any other party.
    • Participant Content must not contain or describe any harmful or illegal activity or content or in any way violate any federal, state, or local laws, rules, or regulations.
    • Participant Content must be suitable for presentation in a public forum.
    • Participant (including each Facilitator and each Team Member) agrees that his, her, or their participation in the Program and agreement to these Terms and any Released Party’s reproduction, display, and use of the Participant Content in accordance with these Terms will not violate any agreement to which Participant is a signatory or party.
  • Requirements.  Sponsor reserves the right in its sole discretion to disqualify from the Program any Participant whose Entry (in its sole discretion) refers, depicts, or in any way reflects negatively upon a Released Party, the Program, or any other person or entity or does not comply with these Terms, including any of the above Submission Requirements.
  1. JUDGING, WINNER SELECTION AND NOTIFICATION
  • Criteria. During each stage of the Program, the Projects will be evaluated under criteria communicated to Facilitator and the Judges by Sponsor (the “Criteria”).  The Criteria will be based on the following categories:
    • Social Purpose and Need: To what extent is the Project designed to have a social purpose in response to a real-world user need?
    • User Experience: How effective is the user experience in accomplishing the engineering team’s stated goals?
    • Content: How effective is the Project content in accomplishing the engineering team’s goals?
  • Semifinal Judging Phase. Each Facilitator will judge all Projects created by the Teams participating in the program as members of Facilitator's Organization in accordance with the Criteria as provided by Sponsor and submit the one (1) Project with the highest score as the Submission to Sponsor.  Facilitator must notify the winning Team Members within three (3) days of submitting the Submission.
  • Finalist Judging Phase. All eligible Submissions will be judged by a panel of judges chosen by Sponsor in its sole discretion (“Finalist Judges”) as they are submitted during the applicable Sprint's Submission Period.  Sponsor will identify the Submissions with the highest scores for each Sprint in accordance with the Criteria (“Finalists”), and Sponsor or its designee will attempt to notify the potential Finalist winners by email, telephone, Facebook Messenger or using other contact details provided by Participants as part of their Application or Entry (as determined by Sponsor in its sole discretion) following the applicable Sprint.  All Finalists Team Members age 13 or older and their Facilitators will be required to take a survey about the Program's value and opinions.
  • Grand Prize Judging Phase. All eligible Finalist Projects will be judged by a panel of judges chosen by Sponsor in its sole discretion (“Grand Prize Judges” and collectively with Finalist Judges, the “Judges”).  The Finalist Project with the highest scores in accordance with the Criteria, subject to verification, will win the Grand Prize.  The Grand Prize winners will be announced and contacted by Sponsor or its designee by using contact details provided by Participants as part of their Application or Entry.  Sponsor may choose, in its sole discretion, to post the Grand Prize winners, their bios, and their Projects online and in accordance with Section 8 (“License”)
  • Additional Terms.
    • Sponsor reserves the right to contact Applicants and Participants for verification purposes and administration of the Program. If there is a dispute as to the winning Project submitted by a Facilitator, Sponsor may, in its sole discretion, disqualify all Projects from such Facilitator's Teams.  All Judges’ decisions are final and binding in all matters relating to this Program.  Each Participant acknowledges that other Participants may have created ideas and concepts contained in their Entry that may have familiarities or similarities to his/her Entry (including, without limitation, a similar Project), and that he/she will not be entitled to any compensation or right to negotiate with the Released Parties because of these familiarities or similarities.
    • Each potential winner (and the parents or legal guardians for potential winners who are minors) may be required to complete, execute, have notarized (in Sponsor’s sole discretion), and return an Affidavit/Declaration of Eligibility and Liability/Publicity Release (unless prohibited by law), tax documents, and related prize-acceptance documents (collectively, “Winner Documents”) in the form provided by Sponsor, without revision, or prize may be forfeited. If any Participant refuses to comply with the foregoing requirements and other requirements of Sponsor, Participant's Entry may be disqualified at any time in Sponsor’s sole discretion with no liability or responsibility to the respective Participant.  If any notification or other Program-related communication is returned as undeliverable, or if a selected potential winner cannot be reached or does not respond as instructed after Sponsor has attempted to notify that potential winner, that selected winner may be disqualified and an alternate winner may be selected (time permitting and in Sponsor’s sole discretion).  Sponsor reserves the right to modify the notification procedures in connection with the selection of any alternate potential winner, if any.  The prize claim and Winner Documents are subject to verification by Sponsor.  The prizes, if legitimately claimed, will be awarded.  In the event fewer eligible Entries are received than there are prizes available, Sponsor reserves the right to award fewer prizes in accordance with the number of eligible Entries actually received.  Sponsor will not be obligated to pursue more than three (3) alternate winners (time permitting) for any prize for any reason, provided that Sponsor will have no obligation to pursue alternate winners should no eligible Entries remain.
  1. PRIZES
  • Grand Prize
    • Up to (40) Teams, subject to verification, will each receive the ability to select which one (1) non-profit organization under applicable local tax regulations that will receive a one thousand dollar ($1,000) donation (“Donation”), subject to approval in the Sponsor’s sole discretion. For the avoidance of doubt, no Teams, Team Members, or Facilitators will receive any portion of the Donation.  
    • The ARV of each Grand Prize is one thousand U.S. dollars ($1,000 USD), and the total ARV for all Grand Prizes is up to forty thousand U.S. dollars ($40,000).
    • The total ARV for this Program is up to forty thousand S. dollars ($40,000 USD).
    • IT IS WITHIN THE TEAM’S DISCRETION HOW TO SHARE THE PRIZE (IF AT ALL); HOWEVER, IF, PRIOR TO PRIZE AWARD, THERE IS ANY DISPUTE BETWEEN TEAM MEMBERS AS TO HOW TO SHARE THE PRIZE, THE PARTICIPANT WILL BE DISQUALIFIED, THE PRIZE FORFEITED, AND SPONSOR WILL HAVE NO FURTHER LIABILITY TO ANY MEMBER OF THE TEAM.
  • Conditions for Acceptance of Prizes
    • Sponsor is not responsible for any inability or unwillingness of any winning Participant to accept or use the prize (or portion thereof) for any reason. Prize details not specifically stated in these Terms, including the form or method of any payment (if any), will be determined in Sponsor’s sole discretion. All taxes (including, without limitation, federal, state, and/or local taxes), as well as any expenses arising from acceptance or use of the prize and not specified in these Terms as being provided as part of the prize, are the sole responsibility of the winner.  Sponsor is not responsible for and will not replace any lost or stolen prize or prize element or any prize that is undeliverable or does not reach a winner because of incorrect or changed contact or bank routing information.  If a winner does not accept or use the entire prize for any reason, the unaccepted or unused part of the prize will be forfeited, and Sponsor will have no further obligation with respect to that prize or portion of the prize.  No transfers, prize substitutions, or cash redemptions will be made, except at Sponsor’s sole discretion.  Sponsor reserves the right to substitute any stated prize or any component thereof with another prize or component of equal or greater value for any reason.  No more than the stated prizes will be awarded.  Participants waive the right to assert as a cost of winning any prize, any and all costs of verification and redemption and any liability and publicity which might arise from claiming or seeking to claim said prize.
    • In the event that, for reasons beyond Sponsor’s reasonable control and not related to a winner, Sponsor is unable to award the prize as described in these Terms, Sponsor reserves the right to award prizes of a similar nature and an equivalent value, or at its sole discretion, the cash value of the prizes.
  1. LICENSE
  • By entering, except where prohibited by law, each natural person agreeing to these Terms (including Facilitator and each Team Member) grants to the Released Parties (and their agents, successors, and assigns) the irrevocable, transferable, sublicensable, free-of-charge, absolute right and permission to use, publish, post, or display, edit, modify, copy, reproduce, disclose, publicly disseminate, make available, and distribute the Participant Content, including without limitation the person’s name, photograph, likeness, voice, biographical information, any quotes attributable to them, and any other indicia of persona (regardless of whether altered, changed, modified, edited, used alone, or used with other material in the Released Parties’ sole discretion) in perpetuity and in any medium now known or hereafter discovered or devised (including online and in digital media) in any language and format, throughout the world, for the limited purposes of administering and promoting the Program and publicizing the winners without further obligation or compensation of any kind to them, without any limitation of time and without notice, review or approval, and each such person releases all Released Parties from any and all liability related to such authorized uses. Without limitation, Sponsor will have the right to post Participant Content and publicize a Participant’s Project on the Program's webpage, any Facebook Group for this Program, and from Facebook or Instagram accounts operated by Sponsor.  Nothing contained in these Terms obligates Sponsor to make use of any of the rights granted herein or to revert back rights granted herein for non-use.  Each natural person granting publicity rights under this provision waives any right to inspect or approve any such use.
  • Each Participant hereby acknowledges and agrees that the relationship between the Participant and each of the Released Parties is not a confidential, fiduciary, or other special relationship, and that the Participant’s decision to submit his/her Entry for purposes of the Program does not place any of the Released Parties in a position that is any different from the position held by members of the general public with regard to elements of the Entry (including, without limitation, the Participant Content), other than as set forth in these Terms. Each Participant understands and acknowledges that the Released Parties have wide access to ideas, text, images, code, applications, software, and other creative materials.  Each Participant also acknowledges that many ideas for software, technologies, applications, bots and online services may be competitive with, similar to, or identical to his/her Project and/or each other in idea, function, components, format, or other respects.  Each Participant acknowledges and agrees that such Participant will not be entitled to any compensation as a result of any Released Party’s use of any such similar or identical material that has or may come to such Released Party from other sources.  Each Participant acknowledges and agrees that Sponsor does not now and will not have in the future any duty or liability (direct or indirect; vicarious, contributory, or otherwise) with respect to the infringement or protection of the Participant’s copyright, patent or other proprietary rights in and to his/her Entry, including the Project contained or described therein.  Each Participant acknowledges that, with respect to any claim by Participant relating to or arising out of a Released Party’s actual or alleged exploitation or use of any Entry or other material submitted in connection with the Program, the damage, if any, thereby caused to the applicable Participant will not be irreparable or otherwise sufficient to entitle such Participant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition, or other exploitation of any Released Party, software, technology, film, video, bot, application, service or other property, and Participant’s rights and remedies in any such event are strictly limited to the right to recover damages, if any, in an action at law.
  1. LIMITATION OF LIABILITY & DISCLAIMER OF WARRANTIES.
  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RELEASED PARTIES EXCLUDE FROM THESE TERMS ALL CONDITIONS, WARRANTIES, AND TERMS IMPLIED BY STATUTE, GENERAL LAW, OR CUSTOM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTICIPANT AGREES TO RELEASE, HOLD HARMLESS, AND INDEMNIFY (I.E., DEFEND AND/OR REIMBURSE) THE RELEASED PARTIES FROM ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE USE, ACCEPTANCE, POSSESSION, MISUSE, OR AWARDING OF A PRIZE OR WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELING TO OR FROM ANY PROGRAM- OR PRIZE-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY (HOWEVER (BUT ONLY IF REQUIRED BY LAW IN YOUR JURISDICTION), THIS RELEASE, HOLD HARMLESS, AND INDEMNIFICATION COMMITMENT DOES NOT APPLY TO CASES OF BODILY INJURY OR LOSS OF LIFE OR TO THE EXTENT THAT ANY DEATH OR PERSONAL INJURY IS CAUSED BY THE NEGLIGENCE OF SPONSOR OR OTHER THIRD PARTY, WHERE LIABILITY TO THE INJURED PARTY CANNOT BE EXCLUDED BY LAW).  EACH WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE (EXPRESS OR IMPLIED, IN FACT OR IN LAW), WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE.
  • FURTHER, WINNER AGREES THAT THE RELEASED PARTIES ARE NOT RESPONSIBLE IN ANY WAY FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR RE-ROUTING RESULTING FROM ANY ACTS OF ANY GOVERNMENT OR AUTHORITY.
  • EACH PARTICIPANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR JURISDICTION OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS: “CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE.  A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”
  1. ADDITIONAL DISCLAIMERS
  • The Released Parties are not responsible and/or liable for any of the following, whether caused by a Released Party, the Participant, or by human error (except to the extent that any of the following occur for reasons within Sponsor’s reasonable control, if applicable law in your jurisdiction of residence dictates that liability to the injured party in such a case cannot be excluded by law): Entries made by illegitimate means (such as, without limitation, by an automated computer program); any lost, late, postage-due, incomplete, illegible, incomprehensible, mutilated, or misdirected email, mail, Messenger message, or Program-related correspondence or materials; any error, omission, interruption, defect, or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable telephonic, cellular, cable, or satellite systems; errors, typos or misprints in these Terms, the Participation Agreement, Parental Consent Form, Winner Documents, any Program-related advertisements, or other materials; failures of electronic equipment, computer hardware, or software; lost or unavailable network connections or any failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications; technical or human error which may occur in the administration of the Program or the processing of Entries; or any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Participant’s participation in the Program or receipt or use of any prize. Released Parties are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or for insufficient space in a person’s email account, voicemail inbox or Messenger message account, to receive, email, voice messages or Messenger messages.  Released Parties are not responsible, and may disqualify a Participant, if any contact information provided by the Participant does not work or is changed without giving prior written notice to Sponsor.  Without limiting any other provision in these Terms, the Released Parties are not responsible or liable to any Participant or winner (or any person claiming through such Participant or winner) for failure to supply a prize or any part thereof in the event that any of the Program activities or Released Parties’ operations or activities are affected by any cause or event beyond the sole and reasonable control of the applicable Released Party (as determined by Sponsor in its sole discretion), including, without limitation, by reason of any acts of God, equipment failure, threatened or actual terrorist acts, air raid, act of public enemy, war (declared or undeclared), civil disturbance, insurrection, riot, epidemic, fire, explosion, earthquake, flood, hurricane, unusually severe weather, blackout, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slowdown, any law, rule, regulation, action, order, or request adopted, taken, or made by any governmental or quasi-governmental entity (whether or not such governmental act proves to be invalid), or any other cause, whether or not specifically mentioned above.
  1. GENERAL RULES
  • Sponsor’s decisions will be final in all matters relating to this Program, including interpretation of these Terms, selection of the winners, and awarding of the prizes. All Participants, as a condition of entry, agree to be bound by these Terms and the decisions of Sponsor.  Failure to comply with these Terms may result in disqualification from the Program.  Participants further agree to not damage or cause interruption of the Program and/or prevent others from participating in the Program.  Sponsor reserves the right to restrict or void participation from any Facebook account, IP address, email address or domain, or device if any suspicious Entry and/or participation is detected.  Sponsor reserves the right, in its sole discretion, to void Entries or other participation by any person or entity who Sponsor believes has attempted to tamper with or impair the administration, security, fairness, or proper play of this Program.  In the event there is an alleged or actual ambiguity, discrepancy or inconsistency between disclosures or other statements contained in any Program-related materials and these Terms (including any alleged discrepancy or inconsistency within these Terms), it will be resolved by Sponsor in its sole discretion.  Participants waive any right to claim ambiguity in the Program or these Terms.  If Sponsor determines (at any time and in its sole discretion) that any winner or potential winner is disqualified, ineligible, in violation of these Terms, or engaging in behavior that Sponsor deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, or harass any other person or entity, Sponsor reserves the right to disqualify such winner or potential winner, even if the disqualified winner or potential winner may have been notified or displayed or announced anywhere.  Sponsor’s failure to or decision not to enforce any provision in these Terms will not constitute a waiver of that or any other provision.  The invalidity or unenforceability of any provision of these Terms will not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. These Terms are provided in English and may be translated into local languages for convenience; in the event of any conflicts between the English and the local language versions, the English version shall prevail.  If the Program is not capable of running as planned for any reason, Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Program and award the prizes based on eligible Entries received prior to cancellation, modification, or suspension, if any, or as otherwise deemed fair and appropriate by Sponsor.  If any person supplies false information, participates or submits Entries by fraudulent means, or is otherwise determined to be in violation of these Terms in an attempt to obtain a prize, Sponsor may disqualify that person (and any Participant on the behalf of which such person participated in the Program) and seek damages from them and that person may be prosecuted to the full extent of the law.  If any dispute regarding an Entry cannot be resolved to Sponsor’s satisfaction, such Entry will be deemed ineligible.  CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY VIOLATE CRIMINAL AND CIVIL LAWS.  IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.
  1. DISPUTES/GOVERNING LAW
  • Except where prohibited by law, any and all disputes, claims, and causes of action between a Participant or potential Participant and any Released Party arising out of or connected with this Program, the determination of any winner, or any prize awarded must be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will a participant be permitted or entitled to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than the participant’s actual out-of-pocket expenses (if any), not to exceed one hundred dollars ($100 USD), and each participant further waives all rights to have damages multiplied or increased.
  • This Program and any dispute arising under or related thereto (whether for breach of contract, tortious conduct, or otherwise) will be governed by the internal laws of the State of California, USA, without giving effect to its conflicts of law or choice of law principles or rules that would cause the application of the laws of any jurisdiction. Any legal actions, suits or proceedings related to this Program (whether for breach of contract, tortious conduct, or otherwise) must be brought exclusively in the state or federal courts located in or having jurisdiction over San Mateo County, California, US, and each Participant accepts and submits to the personal jurisdiction of those courts with respect to any legal actions, suits or proceedings arising out of or related to this Program.
  • For all Participants and Organizations resident or headquartered outside of the United States, should the exclusive venue provision for California courts be deemed to be invalid or ineffective under the laws or by judicial authorities in any jurisdiction, both parties nonetheless agree that except as otherwise provided below, any dispute, claim, or controversy arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally settled by arbitration under the Rules of Arbitration of the International Chamber of Commerce (the “Rules”) administered by three arbitrators appointed in accordance with the Rules. The Rules are deemed to be incorporated by reference into this clause.  The seat of the arbitration shall be New York City, New York, and the language of the arbitration shall be English.    In addition to the Rules, the parties agree that the arbitration shall be conducted according to the IBA Rules on the Taking of Evidence in International Arbitration.
  1. TERMS/WHO WON?
  • The winner of the Program will be shared on our website.  Requests for winner information can also be sent to engineeroftheweek@fb.com and in the Subject Line writing “Engineer for the Week Program — Winners.”  In the body of the email write: “This is a request for the Engineer for the Week Program winner information.”  Requests for winner information must be received no later than three (3) months following the end of the Submission Period.  For a copy of these Terms, print out these pages or send a legal-size, self-addressed, stamped envelope no later than the end of the Submission Period to: Engineer for the Week Program – Official Rules, c/o Salleha Chaudhry, Facebook, Inc., 1 Hacker Way Menlo Park, CA 94025.  Only one (1) request per each type of request above per person or entity will be fulfilled.
